1. Introduction

These Terms of Service ("Terms") govern your use of the STRAT STUDIOS website at stratstudios.co.za and the web design, development, and related services ("Services") provided by STRAT STUDIOS ("we", "us", or "our"), a web design agency based in South Africa.

By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use our website or Services.

2. Services

STRAT STUDIOS provides the following services, as agreed upon per project:

• Custom website design and development
• Branding and visual identity design
• Search engine optimisation (SEO)
• Website hosting and maintenance
• Content management and updates

The specific scope, deliverables, timeline, and pricing for each project will be outlined in a written quote or proposal provided to you before work begins.

3. Quotes and Pricing

• All prices are quoted in South African Rand (ZAR) and are inclusive of VAT where applicable.
• Quotes are valid for 30 days from the date of issue unless otherwise stated.
• Once a quote is accepted and a deposit is paid, the agreed pricing is fixed for the scope of that project.
• Additional work requested outside the original scope will be quoted separately.

4. Payments

• A deposit of 50% of the total project cost is required before work commences, unless otherwise agreed in writing.
• The remaining balance is due upon project completion, before the website is deployed to your live domain.
• Monthly retainer fees (for hosting, maintenance, and support) are billed monthly in advance and are due on the date specified in your agreement.
• Late payments may result in suspension of hosting or maintenance services after 14 days' written notice.

5. Intellectual Property

Your content

You retain ownership of all content (text, images, logos, and other materials) that you provide to us for use in your project. You confirm that you have the right to use and share this content with us.

Our work

Upon full payment, ownership of the custom website design and code we create for your project transfers to you. This does not include third-party tools, libraries, or plugins used under their own licences.

We reserve the right to display completed projects in our portfolio and marketing materials unless you request otherwise in writing.

6. Client Responsibilities

To ensure timely delivery, you agree to:

• Provide all required content, assets, and feedback within agreed timeframes
• Designate a single point of contact for project communication
• Review and approve deliverables within 7 business days of submission

Delays caused by late content or feedback may extend the project timeline accordingly.

7. Revisions

Each project includes a reasonable number of revision rounds as specified in your quote (typically 2–3 rounds). Additional revisions beyond the agreed scope may be charged at our standard hourly rate.

8. Website Hosting and Maintenance

If you subscribe to our managed hosting and maintenance service:

• We will host your website on reliable, secure infrastructure with SSL certificates included.
• We perform regular backups, security monitoring, and software updates.
• We aim for maximum uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance.
• You may cancel hosting services with 30 days' written notice. Upon cancellation, we will provide you with a copy of your website files.

9. Limitation of Liability

To the maximum extent permitted by South African law, STRAT STUDIOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to our Services or your use of our website.

Our total liability for any claim arising from our Services shall not exceed the total fees paid by you for the specific project in question.

10. Termination

• Either party may terminate a project agreement with 14 days' written notice.
• If you terminate a project after work has commenced, you are responsible for payment of all work completed up to the date of termination.
• Deposits are non-refundable once work has begun.
• We reserve the right to terminate an agreement if payments are overdue by more than 30 days.

11. Warranties and Disclaimers

We warrant that our Services will be performed with reasonable skill and care. However, we do not guarantee specific results such as search engine rankings, traffic volumes, or conversion rates, as these depend on many factors outside our control.

Our website and its content are provided "as is" without warranties of any kind, express or implied.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the jurisdiction of the South African courts.

13. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by the "Last updated" date at the top of this page. Continued use of our website or Services after changes constitutes acceptance of the revised Terms.
